Cap wins this one. He's the best at hand-to-hand combat, bar none (yes, even slghtly better than Batman), plus he actively engaged in sparring sessions with his Avengers teammates to make everyone more effective- Bats isn't that friendly with the JLA members and tends to train on his own.
While they are both the smartest fighters in their respective universes, Batman's genius is diverse- robotics, biology, forensics etc. Cap's expertise is combat. Batman is the better investigator and analsyst, he's far more skilled at escaping locked cells, getting past security systems and into secure areas unnoticed. Cap is the better pure fighter- he gets past security by charging into impossible odds and disabling the entire security team. Batman's lone advantage is his utility belt, but Cap frequently fights hi-tech military foes armed with gas, tasers etc. (AIM, Hydra) so it's not a gamebreaker in this fight.
While Batman is at the top level of human physical fitness, Cap's reflexes, strength and endurance exceed that a little, due to the super-soldier serum (at whatever level it's present in his system these days) It's a very close battle, and goes the distance because they are both so resourceful but in the end WWII's ultimate soldier experiment wins out.

If this were simply a sparring match it would be easy to call. Batman has an advantage in hand to hand combat.
If this is an all-or-nothing fight I lean towards Captain America.
Both men are very adept fighters, with Batman having better matrial arts skills. But Captain America can fight for longer and has more stamina. Now take into account that both men are master tactitions and stratagists. Neither one gains an upper hand simply by outplanning the other. True Bruce has a wide array of gadgets but Steve has faced gadgets before. It is Rogers' experience and slight speed advantage that pushes him over Wayne in an all-or-nothing fight.

Batman would pull this one out in the end. True Cap has great endurance and superhuman strength, but Batman has trained his body to peak physical condition. I'm not saying they're equals by any means, but Bats is in good enough shape to keep up with Cap just long enough to defeat him. They're both brilliant fighting minds, but there's a difference in the level of determination. Captain America is definitely the better team leader, and a great overall tactician, but when it comes to solo combat, Batman's obssessive nature would give him the advantage. When facing an adversary, especially one that has natural advantages over him, Bats plans every minute detail of the encounter. He orchestrates the entire thing. Cap doesn't usually engage in the level of planning that Bats does. In this case it all comes down to who's more prepared, and in this case, it's Bats.

Captain America is a super-soldier. He's more physically advanced than Batman. And Captain America can be pretty ruthless if he's pissed off enough and has a good reason to get violent.

Captain America anyway you see it.
Many more years experience, master tactician and a super shield. I don't think Batman would win. The closest chance he has in in bare hand to hand combat, even then he will probably lose. Cap suffers from no muscle fatigue and can hence endure far longer than batman. He has even defeated people stronger than him.

Actually, I seem to remember a cross-over from about ten or fifteen years ago when Batman and Captain America did fight. Batman took Cap down, as it should be.

Batman would win if he resorts to fighting "dirty" or using some of his "wonderful toys" to neutralize Cap's shield. Otherwise, they are pretty balanced skill-wise. The fight someone else mentioned was in Marvel Vs. DC where the writer had the fight end in a draw.
