I have bought a new pentium D 2.66GHz, 533 bus,2*1cache @ D946GZIS intel board. but in system properties winxp shows that it is P5 2.66 GHZ? does P5 processor exists?

You have to realize that Windows XP is a few years old. The service packs and updates do not account for recognizing the naming for newer generation Intel processors. So Windows simply calls them P5.

Yes it could show up as a P5 it is after all the next generation and D means dual core also what does it matter as long as it works like you expected it to.
