The champions league is for the top teams of a league, usually the top 2 or 3 teams of a league go to the champions league, but if they cannot, then the fourth or 5th place team go in their stead. In total there will be 32 teams allowed into the champions league, the teams will consists of the top teams of various leagues like premiership and spanish primera. The uefa cup is a less prestigous version of the champions league. It is a consolation tournament for the teams that did not make it into the champions league. The third and fourth place teams of various leagues are relageted if they want to, to the uefa cup to compete. Also some teams that are knocked out from the round of 32 in the champions league can choose to go to the uefa cup to participate.

Basically those not in the Champions League play in the UEFA Cup.
I know this much: The top 4 teams of each league qualify for the Champions League. I am not 100% sure though about the UEFA cup procedures.

the uefa cup is made up of teams that finish in the top six of their leagues and after the group stage the teams that finish 3rd in their champions league group enter the uefa cup.

From an American perspective, the Champions League is the NCAA Tournament of European football and the UEFA Cup is the NIT.

The UEFA Cup is second to UCL, its just like the Premiership and Division 1 soccer. you have to be the best to be able to take part in UCL that is top 4(top 2 -automatic 3th and 4th qualifying rounds)in the approiate leagues, whilst the UEFA cup is played consisting of teams that finish 5th and 6th also teams that are league cup winners(like the fa cup, carling cup) or i quess even the runner-up are allowed.......UCL teams that are not able to qualify for the knockout phase of UCL and finish third in the group are also switched to the UEFA CUP...........
