There were two reasons Lita wanted to retire.
The 1st reason came after the incidents with Edge, Matt Hardy and her. The response she got from the public was very very negative and she felt intruded on by the fans of WWE who were making it their business to call her a whore because of what happened between her and Matt. Then, on top of that, the WWE used it and exposed it to the fans for ratings and to create a storyline.
The 2nd reason is, like the others have said, her band. She wanted to focus on that and other options of entertainment. She is still taking bookings for $3,000 at shows but her main passion now is her music.

She didn't retire, she just didn't resign. Instead she is focusing on her band, The Luchagors.. .who by the way released their first single "Burn"... interesting to say the least, but I won't rush out and buy it... and she is accepting bookings through MWF or the Maryland Wrestling Federation...
The bad publicity from the fallout with Matt didnt' help things I'm sure.... but she was one of the best womens champs ever. Its a shame they let her go out the way they did, she deserved better!

It's her time. Same reason why other wrestlers like, The Rock left. Although they were popular and drew in the big crowds, eventually wrestling fans have gotten less and less interested in them over the years. (Especially younger new generation fans) Better to jump ship now with your fame and glory intact, instead of letting it wither away by staying.

She retired so she could focus more on her band and music.
She also may try pursuing an acting career also.

they claim, wwe, that she's been wanting to retire for some time now, mainly because she wants to pursue her musical career with a punk band named, Luchadors

Yup... her band and trying to further her acting career... however she is also hooked up now with an indy wrestling promotion too.
