I am very comfortable with system admin and tuning but cannot find the ghost that does this. There are no scheduled tasks and I have reviewed all possible processes and their linked dlls and threads. Any ideas?

I don't quite understand what you mean, restarts itself?
the computer turns on by itself or what?
if it is turning on by itself, I would think this would be a BIOS setting. If it i restarting itself, I would say you have a problem causing a crash that you need to turn on some logging to discover.
Maybe Dr. Watson could help locate the problem, you may already have a log with errors in it.

If the computer is starting itself up without you pressing the power button from time to time, you've probably got the "Wake on LAN" option set in your CMOS (The opening boot screen, before it shows the windows boot screen).

go into the bios and make sure "wake on lan" is disabled
