Differences:

Prokaryotic cells don't have nucleus and organelles like mitochondria, Endoplasmic Reticulum, Golgi Appartus etc... While Eukaryotic have nucleus and organelles.

Prokaryotes such as bacteria have cell walls. Eukaryotes in many don't have cell walls except for plants.

Also Prokaryotes are smaller and less complex than Eukaryotes.

Similarities:

Well both have DNA and RNA
Both have Cell membrane
Both have Ribosomes
and other things.. such as what make a life and what doesn't such as: be able to regulate things in and out of the cells, be able to reproduce (however the process of reproduction are different in both), etc...

These cells are alike because: 1. They both have plasma membranes. 2. They both have DNA. These cells are different because: 1. Eukaryotic cells have their chromosomes inside nuclei; prokaryotes do not. 2. Eukaryotic cells have organelles enclosed in their own membranes; prokaryotes have no membrane-bound organelles. Eukaryotic cells may have developed because they are so much more efficient, being able to carry on many different functions in the individual organelles at the same time.

Prokaryotic cells have a nucleas while eukaryotic cells don't. I remember it like this:

Eukaryotic= You Kerry= No brain (nucleus's function)
Prokaryotic= Pro Kerry= Little Brain

I learned it during the 2000 presudential election. :)

i forgot but know that 1 has 1 cell and the other has many cells or nucleus
