do you mean board of directors? if so, their job is to elect the executives which run the company and to approve any capital projects, the business plan, and state the salary for the executives.

May I assume you are talking about a film director?
If so, the Director is responsible for the artistic vision of the film. They give the actors instructions, work with the cinematographer, artistic director, costume & set designers, etc. to ensure the work is a cohesive whole.
They need to undestand the actors' craft, have a good overview of the film process (cameras, lenses, etc), understand lighting, have good "people skills" (to be able to direct a large group of people to work together), be a "storyteller", able to communicate ideas in a compelling and visual manner.
Sydney Lumet wrote a good book on the topic several years ago. I suggest you look at it.
However, if you are talking about a different kind of director (say, a camp director, director of children services, charitable organization director, director of a goverment office ...) you'll need to give a little more detail in order for someone to answer your question.
