um people that is not even a contest. spider man is way strong, faster and he has his spider sense. batman is cool and smart and has all those gadgets but spider man would see them coming and could use his web to snag the utility belt and wrap batman in a cocoon. even in a hand to hand combat, spider man is fast and more agile than batman.

It's a bit like the Tyson v. Ali conundrum... Batman would have to get a few good digs in fast to win because he's bigger and more powerful and has some good weapons - the longer the fight goes on, Spidey's odds get better because he's fitter and more agile and has more chance of getting Batman caught in a web.
I could **** either of them, seeing as I actually exist...

SPIDERMAN by a long slide. first of all, he has maneuverabillity that way outmatches batman, spidy-sense which can anticipate his crappy batterang and FAR superior strength, not to mention, hmmm web. Batman's only super power is being a fit rich guy.
