Spider-Man would win under normal conditions. He's dodged barrages of bullets countless times; it's no different with spells. Plus, Peter's very intelligent and could probably outsmart Harry, who has slightly above average intelligence. However, you guys are incorrect in saying that it would be game over if Harry lost his wand. The wand is just a piece of wood with a specialized core. The real magic originates from the wizard; the wand just allows the wizard to channel his magic. Therefore, Harry might actually be more lethal without his wand and without having to use incantations. Remember those unexplained incidents when Harry was a kid? If Harry were to recklessly release his magic without a wand to channel it, it would be considerably more difficult for Spidey to evade. But still, Peter has the brains and the power. Combine that with his experience and the webhead comes out on top.

Spidey's senses are of no use against an area-of-effect attack that can apear from all directions around him at once.
Similarly, his great agility cannot prevail against someone who can, with the wave of a wand, levitate him off the ground and hold him suspended in mid air, out of contact with any walls, floors or ceilings.
His increased strength cannot fight against telekinesis, which is immaterial.
His webs might be able to stop Harry's mouth from chanting spells or waving his wand, but surely such an experienced mage has considered the possibilities of direct physical attack. Magical fire is one of the easiest spells there is! And Spidey's webbing is flammable.
I think that after Harry had a chance to determine (magically, of course!) that Spider Man was no threat to him, he would release him and they would talk and become friends.
So, in the end, they would BOTH win!

Spider-man would definitely win. I can speak unbiased because I read both. He's far more intelligent than Harry Potter. Spider-man also has super agility and reflexes. Harry Potter could cast spells until he was out of breath, but he'd never hit him with one. Spider-man's spider sense would alert him if Harry was even close to hurting him.
After snatching Harry's wand away (much like he snatched Captain America's shield away in Amazing Spider-man #534), he would make a wisecrack, web Harry up and then leave. End of discussion.

Logically it would have to be Harry Potter, as Spiderman has only limited powers...
Unless Spiderman used his web to take Harry's wand away, in which case it could become a more even fight.

All Spiderman would have to do is web Harry's mouth shut... and presto - No more magic! Then Pete would try to talk some sense into the boy, telling him how he was once a bookworm too and that he should focus more on Hermione before she gets away!

Harry Potter would win because of his magic. I mean really, if he can defeat Lord Voldemort so many times, he could put Spiderman in his place with no problem.
