Wasn't the Vulture supposed to have some sort of enhanced strength or other ability...? It seems to me I recall reading somewhere long ago that (since he was one of Spidey's physically most elderly foes) that they had to do something to de- age him or enhance him so that they could reasonably allow him to come back afterward and not have died in prison in the interim.
So let's say that the Vulture is not as old or as weak as he might otherwise appears.
Man-Bat still wins. Kirk Langstrom has the powers of sonar, strength, agility and his sharp claws, in addition to flight. He has worked alongside of, and, in the process, been somewhat trained by, the great Batman himself.
Most importantly, Kirk Langstrom has faced the beast within himself, and learned to overcome it, holding on to his humanity and caring for his wife and daughter. That inner strength, won through hard-fought self-conflict, is a power that no criminal can ever have, and that is what will make the difference.
