It is a matter of opinion. Some people think its the same thing. Some think that passing out or fainting is related to fear, severe pain, or emotional distress. Unconsciousness is when a person is unable to respond to people and other stimuli around him or her. Often, this is called a coma or being in a comatose state caused from a variety of things from head trauma to overdose.

Passing out is a verb and is usually associated with when someone gets drunk.
Unconscious is a state of being and becoming unconscious is normally assocaited with trauma or being hit on the head with something, which is trauma in a sense.
.... Well, that's how my opinion stands.
