It's basic purpose is to protect the info structure of a company, from being "leaked" or exploited. So basically, you can't take a company's idea or products, and use them to make money yourself, outside of your job. More recent documents have been made to capitalize on others' ideas and investments, citing "inspiration" from their products/services (basically, entitling companies to any "moneymaking ideas" you make, and any money thereof, within a certain time frame).

It also stops you from having the legal right to discuss work (anything about it) off the clock, or to anybody you're not working with.

A non circumvent agreement means that you must stay the course through whatever process is in play and you cannot cut corners.. for instance if you are in a sales process with a no circumvent agreement, the customer cannot decide to buy the same product from a diffferent seller.

A non disclosure agreement means that you will be given sensitive information and you must keep it to yourself and not share it with anyone else outside the company. Its used to protect patentable intellectual property.

I will look around to see if we i can find one for you.
