The E-class is essentially larger. This allows larger engines to be placed in the engine bay so the E-class has a different range of engines.
As a larger, more expensive car, the E-class tends to be offered with a higher class interior and other options than the c-class, but I am certain this varies from market to market.

Hi - I saw your posting regarding the differences in the C & E class Mercedes-Benz and thought I'd give you some additional information. The C Class is the entry level vehicle from Mercedes. It's available in three versions, with a variety of options. The C230 Sport is available only with a 2.5 liter 201 hp V6 available in a 7-speed automatic or 6-speed manual transmission. It comes standard with 17" very well styled aluminum alloy wheels, dual chrome tipped AMG inspired exhausts, front end AMG inspired mesh air dam, sport styled body moldings, blue-tinted windows. The interior includes black maple wood finish which replaces the aluminum trim of 2006 and earlier models. The C is also available in the C280 4-matic (all wheel drive). This model comes standard with a few more options than the C230, but is only available in the luxury appearance package. There is also a high end C350, which shares the same 268 hp V6 with the E350. The C350 is the most loaded C class available and comes in both the sport package (see C230) and the Luxury package. You can get the C350 in either 4-matic all wheel drive or the standard rear drive.
The E Class is a much larger, and some would say, much more luxurious vehicle than the C class. The E is available as an E350 and E550. The E350 comes with a 268 hp V6 and is available in both Luxury and Sport trims. The Sport line of the E class comes standard with 18" multi-spoke wheels, a matte-chrome finished instrument cluster, dual chrome tipped exhausts, more aggressive front body styling, blue-tinted glass. The vehicle also comes with the standard COMMAND system, which has an in-dash LCD screen available with Sirius Satellite radio, DVD navigation, etc. The E is offered with rear-drive and 4-matic (all wheel drive). The E550 is the V8 382 hp version of the vehicle. The E550 comes standard with many features that are optional on the E350. Some of the optional equipment is the air-matic coil/air based suspension with 1 comfort setting and two sport mode settings. You can also get ventillated seats, quad-zone climate control, etc.
If you have additional questions regarding any Mercedes-Benz models, etc. feel free to email me.

Other than the obvious design differences (peanut headlights compared to the slanted oval ones, etc.) the major difference is size. Of course, many of the items that are offered as an option on the C-Class or with certain packages only, come standard on the E-Class.
AMG models aside, the C-Class ranges in price from $30,000-$40,000 while the E-Class ranges from the low $50,000's to the high $60,000's.
The C-Class is the entry level model offered by Mercedes-Benz USA. It is a great option for someone who wants luxury, performance and quality with a name like Mercedes-Benz attached to it, at a price most middle-class folks can afford.
The E-Class is the "bread and butter" of Mercedes-Benz. The current model (w211 MY2003+) is rumored to have cost MB upwards of $2B US to implement! That is no small budget so you can be assured that you are getting a lot of form with plenty of function. This is where MB makes most of it's money from. It falls into a perfect category as its price-point puts it in a more exclusive market than something comparable to the C-Class but its size keeps it desirable for those that want luxury but don't want a luxo-barge like the S-Class.

Essentially, the C-class is the entry level for mercedes, the E-class is the mid-level and the S - class is their top-of-the-line for the sedan.
Simularily:
BMW has the 3 series, 5 series, and 7 series.
Lexus has IS, ES, and LS
