Mp3 is a type of music file encoding (other formats are WMA -windows media audio, AAC- Apples chosen format for its iTunes store and the lesser known ogg).
An Ipod is a brand of portable player that can play AAC encoded music files and mp3 encoded music files. Other players can playback mp3 and sometimes other formats too. Most audio files can easily be converted into other music file formats.

An iPod is a brand of an MP3 player, made by Apple. Therefore, there is no different between an MP3 player and an iPod. MP3 is a digital music format, and MP3 players (such as iPods) play these files.

ipod is made by apple and needs itunes to transfer music to it from a PC but, an mp3 player does not need specific software to transfer music to it(if you have XP).
also a lot of mp3 players use memory cards so they can be updated with more memory where as ipods are fixed sizes.
I use a cheap mp3 player £15 and a 2gb SD memory card £25, this enables me to buy more cards to store music and then just swap them over giving me options of having loads more gb of music. SD cards are small and don't take up loads of pocket space.

A brilliant marketing campaign, which has succeeded in an inferior product becoming the "must have" version and even becoming synonymous with the product itself.
MP3 is a compact file format for music on PC's and little portable players. These players come in two types - ones with solid state memory and ones with little hard discs. The hard disc type (and the Apple iPod is one of these) have much larger capacities but, as they have to power the motor that spins the disc, poor battery life even with high-tech' rechargable batteries.

If you mean an mp3 PLAYER then the difference is that iPods play m4as as well as mp3s, if you tried to play m4as on an mp3 player you get loads of white noise.
