The penguin would win, cause he'd just knock the scorpion into the ice cold water and the scorpion would drown and the penguin would just waddle off laughing and saying "That'll teach you stupid scorpions to try and pick on the Emperor!"

Considering that even the most vicious, venomous scorpion will still need to be able to inject its venom into the penguin, and that the penguin is pretty nicely insulated by a sheath of thick, non-poisonable blubber, while also possessing a nice, sharp pointy beak - I'm gonna put my money on the penguin, regardless of the ground they fight on.
Perhaps if the scorpion is lucky enough to sting a foot or flipper, the penguin will die sometime afterwards, but that scorpion's a goner for sure.

I think the deathstalker scorpion would win, or they would both die. The scorpion would sting the penguin but since the venom takes a while to kill you it would give the penguin long enough time to counterattack and peck it dead or bite it in half. But since penguins aren't really that aggressive and feels it really has no business with the scorpion, trying to avoid it, whereas the scorpion views the penguins as a threat that must be neutralized, it gives the scorpion the edge.

Emperor penguins live in the Southern icefields. Scorpions live in the tropics. Penguins can cope with higher temperatures although they get bad tempered. If it gets too cold, scorpions go to sleep.
So neutral territory would be temperate. The Penguin would be irritable, the scorpion would be asleep. No contest.

the penguin, good always over comes bad. the penguin would shuffle the scorpian into a little ball and then kick him onto the top of his feet and waddle him into the freezing cold water. I love penguins.
