I don't recommend partner swapping, but I have never done it and am not interested in it. I can't see it possible helping your marriage at all. But, that said, to each his own. If you are interested in swapping and so is your partner, you should talk more about it with her and also talk with your partner about the pros and cons. But if you already know that you are not interested, just tell her that you don't think it would be for you. It's nothing to lose a friend over though.

I feel like a sucker for even bothering to answer this, but I'm gonna assume for a second you are serious.
Talk to your husband. Ask him what he thinks. Communicate. Do you have jealousy issues? Would it bother you to share him with another woman? Could he do the same? Do you both find the other couple attractive? Would it be fun to have some no strings sex? Communicate.
If you communicate, and go into this with an open mind and some rules, it can work. Violate anything I have said and it can be disaster.

I'm proud of you that you would even consider doing it. All couples involved have to be on agreement with everything before entering into this lifestyle. If you choose not to do it for any reason...that is ok. You don't have to quit being friends though. Just tell your friend that you aren't interested and leave it at that. If she is your true friend, she will accept your decision.
