You need to buy a null modem cable, this is a cable with 2 9 pin D female connectors on each end. You attach each end to the serial / COM port on each PC.

You can then transfer files between them by running hyperterminal on both PCs and configuring the COM ports to the same parameters, try:

9600 baud
8 bits
1 stop bit
No parity
RTS/CTS hand shaking

Increase the baud rate settings on both PCs together until you start to get data errors.

You can use Z modem protocol in hyperterminal under the transfer menu to send files back & forth.

If both of your PCs have RJ45 network ports then a P2P network using a cat 5 crossover cable would be a much simpler solution.

You really can't do that unless you connect both modems to separate phone lines and dial in from one to the other. If your computers have NICs in them, just get a crossover cable and hook the two NICs together.

The poster that talked about the null modem cable is technically correct but a 9,600 bps connection is extremely slow. You'll be there for days copying small files. The NIC to NIC connection will run 10,000 times faster.

you dont want to do it modem to modem...you would want to use the network interfaces. you will need a crossover cable to plug into each network card and then in the network properties you will have to setup static ip addresses (eg: 192.168.1.1) with a gateway and subnet address that way the two pcs can talk to each other.
