Normally the one saying the phrase has an idea or influence that something awful will happen to the one being addressed. And in this case the one being addressed is not aware or anticipating any danger.

Depends on the context - if someone tells you they will watch your back then they will always be there for you and look after you. If someone is telling you to watch you back it is a threat , meaning that as soon as you turn your back on them they will be there to hurt you.
