In Windows Media Player right click on the song you want to convert, put your curser on "send to" and Windows Audio Converter will appear. Click on it and you will have the converter panel pop up. There are many options for conversion.

Check out www.download.com. Click on audio/video software (I've included the link for you in the "sources" section. There are a couple that were released today that can help you convert.
There's one called the ALO Video Converter -
"ALO Video Converter is a simple and easy-to-use converting AVI, MPEG, MPG, DAT, RM, RAM, RMVB, MOV, ASF, WMV to AVI, MPEG, RM, WMV. PAL/NTSC conversion and vice versa are available. It can handle and convert between the following formats: AVI, MPEG, RM, MOV, ASF, WMV. "
Seems to fit what you're looking for. Best of all, the downloads are free!
Good luck! =)
