Policy is the (generally) written set of rules and procedures used to run a company.

Procedures are the "step by step" way that things are done within the company.

policy is more like rules; like you can do this or that ; but procedure is how the things have to go; i mean if you want to purchase anything; there is a procedure for that; that you have to write a certain paper; get it signed from your manager; then send a letter for it and etc....

I would say that a policy defines your standpoint whereas a procedure is a set of intructions that you follow (often as a result of adopting a policy).

Simply put, a policy embodies the phrase 'what will we do', and a procedure the phrase, 'how will we do it'.
