My Computer simply refuses to find the Audio Device.I re-installed
Windows XP Home edition.And still no FIX , I have An Intell Main board with Intergrated Sound And Ethernet devices . The sound drivers are ,Creative SB Live "WDM"
Any Ideas ?

I think I had a similar experience before. When I first got my computer and Installed the Windows XP. Couldnt play any sounds at all. But after downloading the service pack 1 of windows XP it was fix. Try updating your windows

I'm assuming you've already tried their website for updated drivers.

Turn off the computer, physically remove the card, wait a few minutes and plug it back in, reboot, see if Windows recognizes the new card. If not it may be a faulty card.

Goto to the Control Panel >> System Devices >> Sound

check to see if there are any exclamation marks, if so right click on them and update the drive from your CD.

Also check the unknown device section on there, and make sure your sound card driver is not there.

buy a soundcard or look in the bios and see if your onboard audio is disabled
