As Green Arrow remarked in an early issue of Justice League when they were facing Starro the Conqueror, "It would take a desperate situation for me to use my nuclear warhead arrow!" (Starro caught it and ate it.)
But, Hawkeye doesn't have anything comparable in HIS arsenal.

I opt for Hawkeye, mostly because he has a larger arsenal of "gizmo" arrowheads in his quiver and can probably use them to neutralize The Green Archer temporarily. And a *nuclear warhead* arrow is way too dangerous to use (besides which Hawkeye could probably cobble one up, too). Based on what I know of them, though, Green Arrow seems like the *more skilled* archer, and could certainly "out-stunt" Hawkeye with normal arrows. HOWEVER, I've really never read the Green Arrow comics and know him only from a few guest appearances and sources like Smallville, so maybe he's arsenal's more varied than I think. I'll concede that here and now. I do know that Hawkeye has faced a number of desperate situations and somehow had just the right arrowhead on hand for such emergencies, so I'm mostly basing my answer on that. (It's a lot likelier that they'd figure out they shouldn't be fighting PDQ and team up to take out whoever's manipulating them, and woe to that guy... or dame...!)
Both have pretty cool "looks" by the way, tho I have to give the nod to Oliver Queen in that department (despite its being pretty derivative of Robin Hood). The blonde Van Dyke/dressed in shades of green thing is truly inspiring visually!

A lot of competent answers supporting Green Arrow, and I agree with them, but I will add that Green Arrow gets more tang than Hawkeye, so that automatically makes him "on target" to win this contest.

This is rather difficult to answer, since both characters have been around for some time. Many different writers have changed their abilities in order to take the storyline in unique ways.
Green Arrow is said to be the best archer on Earth in the DC Universe. Since issue #68 of the Green Arrow comic book, he has become extremely proficient in various hand-to-hand martial arts as well.
It has been said that he can shoot 29 extremely well aimed arrows per minute, which is certainly almost super human but still within the realm of possibility.
Hawkeye from the Marvel universe has always been something of a cheap Green Arrow knockoff, with trick arrows and a crappy costume. The Marvel character has always been defined as an extremely competent martial artist, skills that the DC version has only recently developed.
The Marvel character has also been known to use technology (specifically Pym particles) to allow himself to grow to giant proportions and become a version of the Giant Man character. That would certainly give him an edge.
The version of Hawkeye that is the most impressive is the character in a comic book entitled The Ultimates. This Hawkeye is first introduced with certainly super-human levels of skill, since he can fire arrows from his bow with machine gun rapidity. Several battle scenes clearly show a storm of arrows with dozens flying through the air before the first has a chance to strike the target.
The Ultimates version also has shown an ability to throw any object with deadly accuracy. In one scene he even pulls his own fingernails out and uses them to dispatch an adversary, all while firmly strapped down with everything immobile except for his fingers. The DC version cannot boast this kind of ability.
I would say that the Marvel character Hawkeye would win any fight between the two, even though I think the DC character is more interesting and has more personality.

The deciding factor would be baiscally who chose which arrow, and THAT would simply be up to luck. I mean I think Hawkeye's anesthetic arrow would bet GA's Boxing glove arrow...hehehehe. That being said...it would simply be the luck of the "Draw". I really would hate to "noc" either of them. So I'll just say that after a number of challenges they would most likely wind up in a stalemate.

green arrow is the better marksman, and is more level headed.. hawkeye loses his temper too easily and gets sloppy... GA has the maturity and wisdom to control himself, so i pick GA
