You can use the old stuff. The new motherboard should come with a cd with all the drivers. The easiest way to install them is to run the install program on the old computer, and instead of restarting when it tells you to, shut down and do your upgrade. That way the first time you start up with your new mutha board, all the new drivers will be there and Windows will start installing them where they belong.
The thing is, you'll still have an old, tired, possibly underpowered power supply and an older, slower hard drive. Hard drive speed can be a greater factor than the motherboard.

If you don't use your previous hard disk then its a given you need to reinstall your OS. But if you use the same hard disk your settings are saved along with documents and programs.

i always advise reinstall windows since it will have all the old drivers for the other hardware, and lets all the new drivers install
