I do not want to make network or using HyperTerminal. I just want to connect two computers in a room by connection between their modems.

Easier way to connect them for data transfer is with a crossover cable, not a modem. A crossover cable looks like a standard Cat5 ethernet cable, except the pins on one end are reversed so the signal "crosses over" when in use. You plug the cable into the ethernet card of the two PCs and then run the "Set up a Network" wizard in the My Network Neighbor. It will do the rest for you. You can get a crossover cable (also known as a laplink or data transfer cable) for around $1.00 a foot at any electronics or computer store (or Walmart).
