You might be better incorporating in Delaware or Nevada, and doing business in California. It's cheaper and legal hassles appear to be less. Every corporation I worked for in California was headquartered in California, but they were Delaware corporations.

Go to the yellow pages and call about 5 lawyers, And pick the one best for you. When you find the one you want, become their best friend because they will be an asset to you.
