You might be better incorporating in Delaware or Nevada, and doing business in California. It's cheaper and legal hassles appear to be less. Every corporation I worked for in California was headquartered in California, but they were Delaware corporations.
There are legal firms that specialize in setting up corporations. Shop around. And may you enjoy great success in your endeavor.

Go to the yellow pages and call about 5 lawyers, And pick the one best for you. When you find the one you want, become their best friend because they will be an asset to you.
