Why is the movie Happy Feet rated PG?

I saw the movie yesterday (free preview). It was both wonderful and weird. But to answer the question, there are lot of scary situations where the penguins are in danger. There is also alot of sexual innuendo.
Not so Brief example: There is a penguin Lovelace (Robin Williams) who is the all wise penguin to which they go for advice. He is meant to look and sound like Barry White. He has an entourage of females who surround him and who sing and suggestively dance. After he is finished with the day's sessions he leaves arm and arm with the "ladies" and, still in his Barry White voice with Barry white type music playing in the backrground says, "Ladies, whose first?" They had already established earlier in the scene that the pebbles that Lovelace had a ton of, were , in a convoluted way, for mating and that love lace was a very successful mat-er (read "lover") because he had so many rocks.

There are other examples too (like another Robin Williams character talking about another penguin getting "loved up")
An excellent movie and not really as cutesy as you would think.

Well, it's not 100% Kosher. For example, in the trailers they show a male penguin hugging another male penguin against his will, which is a pretty compromising position. Also, they talk about mating (the whole reason why the penguins have to learn their own song). There are some very mild racial stereotypes, etc. Again, all this is what makes the movie funny, but a parent there to explain certain things afterwards would be very helpful.

I thought all movies have ratings? The lowest rating being PG. I am not very sure though.

B/c dancing and singing penguins give people nightmares.
