The first one is a duel core processor, that is better for multitasking and multimedia applications. It has two 4Ghz cores. Which simply means it has two cores on one die (Die is the board like object the size of your thumb nail that processor hardware is placed on.) They both employ the 945 pin configuration which uses an LGA775 socket. That is a very excellent choice. I would go for an AM2 socket processor if my budget could permit it. Both of the processors you have listed have the same amount of cache. That is the L2 number. Cache is basically the processors memory. It is its workspace if you will. 4mb is pretty good. The more cache there is the slower the processor is able to access the data on it. L1 cache is much smaller and faster. (Level one). L2 is bigger and slower (Level 2). If a processor has l2 cache then it also has l1 so don't freak. They are both retail (In the box). These are very good choices. However if you want more performance go for the first selection which is the dual core processor. It will function better when under a higher workload and should not falter nearly as easily when you are multitasking.

Hope that helped!

Wow there are some crappy answers here. The first one is the Pentium D 945 and the second one is the Pentium D 945, which indicates that they are in fact.......THE SAME THING. The difference is retail and box, basically just check to make sure the one that says box comes with a fan, but the processors are the exact same thing.

EDIT: Just let me stress this a little, even though the second one does not say dual core in the name, it is, they are the exact same processor. All Pentium Ds are dual core, that is after all why they are called Pentium Ds. (D is for dual core)

Dual core is better(it works like there are 2 processors in one)
