I was given an intel P4 531 3 gig 800 fsb 1mb L2 cache CPU . In my main computer i have a amd athlon 64 3200 512 L2 cache if i swap mobos and cpu's will i see a difference in speed the rest of the system is ,2 maxtor 120 gig sata hard drives in a raid, 1 gig of ram an ati all in wonder video card . So what i'm asking is it worth it to change the mobo and cpu

No, not worth the expense. The 3200 in the Athlon 64 name means that is its equivalent Intel speed. So basically you are looking at a performance decrease from 3.2Ghz to 3.0Ghz. The P4 does have hyperthreading, which might end up giving you a very slight advantage when all things are weighed, but certainly not enough to justify the time and expense of replacing the motherboard.

you wont see much difference trust me ... if you do heavy processor-intensive tasks like video converting u may see an edge with the P4 .... but my guess is it wont be much .. maybe the difference of a 2 hour convert verses an hour and 50 minuets ... and u could probably overclock the amd to match the P4 ...

I would say to benchmark them both and see. Heck the results might be unexpected and you might even learn something.

the two major brands are all GOOD... choose wisely.. ask some people about there feedback...advantage and disadvantage.
