I'd do my best to get them to see a therapist immediately... while also letting them know they'd leave a hole in my life if they were gone. Unless your a professional, attempting to counsel a potential suicide can be very risky.

If that someone was dying of a horrible painful death, I would say nothing against their wish to commit suicide. If that someone was depressed, I would tell them that "this too shall pass" and try to get them to go to a doctor for anit-depression medicine. I would, also, try to be there for them. I would listen to their tale of woe and ask them what they think besides suicide, they could do to change the fact. I would remind them that suicide is forever and you dont get a 2nd chance to change your live or your circumstances if you are dead. If the someone is a teenager, I would tell his parents and the school counsellor.:

First, you have to be a listener, you should convince this individual to talk out his/her problems. If she/he does, that is a good sign. Most of the suicidal people need listerners to hear what they are in lack of.
Then, you should concentrate on what he/she needs. Try to understand why they feel left out or depressed.
Then praise them of what they can do, make the proud of something.
Then, keep them company for a period of time or perhaps find professional help later.

I'd tell them no... their mind is playing tricks on them... and to not listen. I'd tell them to immediately get professional help. I'd tell them that people get cured and live a fully happy life. I'd tell them that even if a person thinks about it for an instant, something is wrong and they are supposed to receive some help. And I would ask them if they would like me to find a person who can help them.

tough one. if you really know them, tell them of all the people who would miss them. focus on their strong points and things that they have done in the past that has helped someone else. maybe they changed a person's life and not know it. have they ever helped anyone broken down along the road. did some small favor for someone. it only take one good deed that someone has done for another to change that persons life. like the old saying goes.ONE GOOD DEED DESERVES ANOTHER. meaning......if you help one person, they will help another.
