The password belongs to Rachel. Therefore, you would add an apostrophe "s" (Rachel's) to her name. The way you are speaking (in place of Rachel is) is a contraction which is also a correct way of using the apostrophe "s". The example you gave though was not a contraction, but a possessive sentence.

The second one is correct because the apostrophe "s" represents Rachel as being a possessive adjective with "password" being the noun.

Apostrophes have two simple uses in the English language: contractions and possessives.

Contractions

The apostrophe is used to replace missing letters, e.g.

that is short enough — that’s short enough

it is a crew cut — it’s a crew cut

Possessives

The apostrophe works together with an ’s’ to indicate ownership, e.g.

the mirror’s reflection

women’s stylists

St. James’s Street

And for possessive plurals ending in ’s’, the additional ’s’ is not used, e.g.

ladies’ perms half price

barbers’ wives

There is one exception: the possessive ‘it’ is not punctuated, e.g.

its floor is filthy

In a possessive noun 's is a contraction of the word "his", not "is".
