depends, are we talking about Iron Spider currently in the comic books or old spiderman?
Iron Spider would tear superman a new one. He has a costume made for him by tony stark (aka Iron Man) which adds many technological advances to his repirtiore. Also spiderman has exhibited the power to ressurect himself- He cannot die now.
Old spidey would likely get his *** kicked. He didn't have the stregth of superman and was vulnerable.

Superman. If Spiderman only had kryptonite webs, but other than that Superman will crush Spiderman.

Neither.
Superman can not be killed by Spiderman unless Spiderman uses kryptonite.
And Superman code of honor would prevent him from Spiderman.

Physically, Superman would quickly kill Spidey. They are in two totally different leagues.
Mentally, Spidey has him beat. Supes is not incredibly intelligent.
A better match for superman would be the Hulk, Galactus, Dark Phoenix, or Gladiator.

Spiderman would unfortunately not have much of a chance....who could beat X-Ray vision, faster then a speeding bullet, able to leap tall buildings in a single bound and a body of steel VS webs.

Neither. They are both "good guys" and wouldn't try to kill anyone.
Spiderman wouldn't stand a chance, though, unless he found a way to produce a kryptonite (sp?) web. Otherwise, Superman would squash him like a bug.

I would have to say Spider Man because even Clark Kent on Smallville, as weak as he is to Kryptonite, he can still handle Spider Man well. I've seen Superman (not literally, but in the comic books) fight other stronger villians than Spider Man.

Spidey gets squashed, burnt and frozen, then Supes flicks a finger and Pete blows into a gazillion little snowflakes. Supes ends up with a little bruise in the chin. Unless (as always) someone brings the kryptonite. Then:

If it really was a fight to the death I would go with spiderman cause all he would have to do is produce some krytonite and Superman would be a gonner!
