The disk space it saves is negligable.
However, it makes your files more secure than the old fat system.

Because FAT32 allows smaller cluster sizes you can save a lot of disk space if you have a lot of small files.
Usually you don't see that much savings as far as space but it's a far better file system than FAT so worth doing.

Depending on what you convert from. NTFS to Fat32 would not be a good option because NTFS is faster. Fat16 to Fat32 would be a good option cause it has 32 bit support.
