Great question. Proceeds is on of those words that is inherently plural even though it's a single entity. . One of those quirks of English. If you used the word "income" instead of proceeds, the correct word would be "is". Other examples are "my pants are too tight" or "these scissors are dull". One object, but treated as a plural.

The proceeds of the sale are going to charity, the s in proceeds is plural, as used with are.
take away the s and The proceed of the sale is going to charity, meaning it is singular.
ie. My friends is going to a party.
My friends are going to a party. Got it?

because the subject to the verb is Proceeds which is plural and if it's plural it has to be ARE. "of the sale" is a preposition and is not a subject

If the noun is plural then the verb must be as well so.........
The proceeds of the sale are going to charity. (as you are referring to the proceeds not the sale)

Are is correct, because your subject is plural. For subject-verb agreement, the verb must also be plural.

Why? consider the word before the word 'of'. Pretend to drop 'of the sale'. It leaves you with "Proceeds are/is going to charity"
Which leads to "Proceeds ARE going to charity."
Then you insert back 'of the sale". Now it says "Proceeds of the sale are going to charity"

here is the trick: cover up "of the sale" what makes more sense: the proceeds are/is going to charity? its are.
