great question!
1. mastro's ocean club in newport coast is great! they also have live jazz music too. no need to go formal, but bring your wallet, it is EXPENSIVE!
2. scott's seafood across from south coast plaza is nice. since it's close to the performing arts center, you can take in a concert before/after dinner. less expensive than mastro's and it's not formal either.
3. blue coral in fashion island is the newest and trendy place. they have incredible seafood, and it's also incredibly pricey.
4. wildfish in the newport bluffs is also great.

Clearly and unequivocally, this restaurant is not what it appears to be -- but if you can get past the initial confusion, you may well end up joining its sizeable fan club. The dignified architecture and homey decor are deliberately patterned after a Victorian inn, even down to the garden outside and the fireplaces in each dining room. Instead of beef Wellington or fish and chips, though, the place serves contemporary California cuisine. This wasn't always the case, but the owners, who also own the Sonora Cafe in Los Angeles, are nothing if not eclectic. Their menu offers everything from grilled Atlantic salmon to shrimp potstickers to New Zealand venison in wine reduction. It changes often; if you want to know specifics, it's best to call before coming. The extensive, award-winning wine list offers numerous choices to complement every dish. Romantic Restaurants 04/01/2006
This wonderful restaurant should be included in the most romantic restaurants in this area. Sitting by the fireplace on a rainy night, can't be beat.

Five stare dining is the best of the best in all things considered but some times 4.8 feels better loosen you're tie and tip those great chefs till they multiply. Logbill

It's a little outside of the OC, but there's a nice jazz place/italian restaurant called Spaghettini in Seal Beach.

I ate at a place in Tustin called something like Zov's, or Zoff's I think it was. Nice place but not over the top with really tasty food and pretty desserts.

I love the Fashion Island mall in New Port Beach area.
The Italian restaurant Tutto Mare inside that maall has great pasta dishes.

im not sure if you're up for the drive.
but there's this place in malibu called MOONSHADOWS.
it overlooks the ocean as it is right on top of the ocean, impeccable seafood and the atmosphere is very romantic, with the dim lights and the fully stocked bar.
in my opinion, it's totally worth it.

Steamer's in Fullerton. I don't know about the seafood part but it's one of the best jazz clubs in o.c.
