Just explain your reasons. I have been in the same position, everyone was leaving and it was an uncomfortable place to work because you didn't know if the company would be there tomorrow, so I found another job so I would have more stability in my work life and then wrote my resignation letter stating my reasons why. Just be honest, if your boss is nice then I'm sure he/she will understand your reasons.

A quick, two paragraph letter should do. Something like this:
This letter is my notification of resignation as a "insert position" from XYZ, Inc. My last day will be XXXXX,XXXXX.
I have enjoyed my time with XYZ company and have found it very educational and rewarding. My chosing to leave is for a career opportunity and is not a reflection of XYZ company or it's management.
Look on the web. I wrote one 6 years ago that had everyone crying, but I have since lost it.
I had a similar situation happen 3 years ago. The company went out of business 3 months after I left. I asked the owner for a reference and he said ok. I wanted it in writing and via phone calls. He allowed future employment calls to his home phone but never gave me a written copy. I cannot track down past fellow employees to verify my employment either. GET A LETTER IN WRITING BEFORE LEAVING.
This was fine for the first year and then "BAM" he disappeared. I had a few interviews where this is has been questioned, but they understand when I explain what happened.

I have done this and it is difficult. I think the best approach is honesty and straight forward dialogue. If your boss truly is a good boss he or she will understand your position and will probably not be surprised.
If you were stupid enough to stay on a sinking ship you probably would have been gone a long time ago.
I told my boss that I would do whatever was neccessary to make the transition with in a certain time frame. I offered to provide some assistance after I was gone if it was neccessary. I made sure that my boss new how much I appreciated him and that leaving was a decision that was based on my needing a stable income.
A truly good boss will appreciate your honesty and your courage to make the decision for what is right for you in the long run. Good luck

My boyfriend just went through this. It comes down to doing what is necessary to ensure you can make your bills. It was getting hard because my bf was the last sales rep to quit. But he sat down with his boss and was honest about his situation. Don't let your boss take you down with him...if he's good he'll understand. My bf avoided it for weeks and felt rediculous after because his boss was very supportive of his decision. He may already be expecting it:)

Hand in 2 wks notice on paper so its legal otherwise sit down with boss and explain your situation. Stating you are leaving due to company, not them.
This will ensure good feedback from him when you apply elsewhere.
