All of the responses you've received so far are nearly right. It's not actually spyware (it's not spying on you). It's a dialer that you've picked up from somewhere. Click on Tools (at the top of the screen, in your browser), select Internet Options > Connections, and then remove the offending port that's attempting to open. Only do this if you're sure you still maintain an internet connection. Failing that, you'll have to reinstall your modem driver.
As others have already stated, you should run LavaSoft Ad-Aware (http://www.download.com/Ad-Aware-SE-Personal-Edition/3000-8022_4-10399602.html?tag=lst-0-1), Spybot - Search & Destroy (http://www.download.com/Spybot-Search-Destroy/3000-8022_4-10401314.html?tag=lst-0-1), and I'd also run AVG Anti-Spyware (http://www.free.grisoft.com ). Whatever one of them doesn't pick up, the others are sure to.

First uninstall the drivers of that modem.
Restart and reinstall the modem driver. if any update is available for the drivers download that first.
Use web driverguide.com to find updated software.

Run a full virus scan immediately.
Also, download and run Adaware and Spybot Search & Destroy.

You've got a spyware program. You need to get yourself a cleaner.
Spybot search and destroy gets rid of 3com. See http://www.spybot.info/
