They are very similar but some commands are different and C# is more structured while C++ gives you more flexibility (with the loss of a few functions).. if you learn one of them then you can probably program in the other one too.. if you have source code to compile in C# that was written in C++ you will need to modify minor parts of it and Visa Versa.

C# is the tricky name by Microsoft to gather intention of C/C++ community.
C# is the answer by Microsoft for Java (Sun).

They should compared. not with C++.

C/C++ will never be replaced by any other. though they doesn't support gui internally.

much of the syntax is borrowed from C++ and imitateds java. You can learn C# easily if you have some idea about Java ( I think).

C# and Java targeted mainly on Internet/Web. C++ is generalised.

Nothing can replace C++. C++ simply too powerful.
