Feck. I spent a long time typing my previous answer, only for Yahoo to delete it!

Champions League is for the top teams of a domestic league to participate in. Depending on the country's coefficent the league might get a maximum of up to 4 slots. Currently the countries with 4 slots are Spain, England and Italy. Next are France, Germany and Portugal with three slots, and so on.

UEFA cup is for the teams finishing directly outside the CL spots in the league and also the winners of the domestic cup. This comes from the old Cup Winners' Cup, with was absorbed into the UEFA Cup in 1999. If there is an additional League Cup (like in England) then the winners of that will go into the UEFA Cup too.

Again, coefficents determines the number of UEFA Cup slots each country gets. Most of the top leagues have three, but Holland and Greece each have four, which they allocate to the cup holders and the teams finishing below the CL spots, i.e. 3rd, 4th and 5th. (They both have two CL spots).

Example:
England - Top 4 qualifies for CL. 5th plus FA Cup winner plus League Cup winner qualifies for UEFA Cup. If either cup winner qualifies for the CL then 6th in the league gets the UEFA slot. If both cup winners make the CL then 7th place gets the UEFA Cup spot as well.

Spain - Top 4 qualifies for CL. 5th and 6th plus cup winner makes the UEFA cup. Same rule applies if cup winners makes the CL.

well it's actually very complicated - read the Wikipedia articles for the best info... I'll try my best:

Champions League - the best clubs (4 from England, down to 1 each from the tiny countries) in Europe all compete at some point. eventually, it reaches the group stages, where all the teams are divided up into groups of 4. they play each other, and the standings in each group are:

1st place: move on
2nd place: move on
3rd place: play in UEFA Cup
4th place: nothing

then it becomes a knockout tournament.

UEFA Cup: it starts out at the same time, with worse clubs (like 5th place - 7th place from England). there are more rounds, and eventually, it reaches the group stages, where the teams are divided into groups of 7 or something. then it becomes a knockout, like the Champions League.

to go to The champions league directly you have to be in the top 3 of th league in your country, and to go to the uefa cup you have to be 4th, 5th or 6th.
When a club win a match in champions league, he win a lot more money than a club who win a uefa match.
The champions league is where all the best European club compete and the uefa is like the second class european cup.

They're two different tournaments. The top 2 in each group of the CL move on. The 3rd place in each group of the CL compete amongst each other in the UEFA cup. I'm pretty sure that's right.

Champions League are for the teams that were on the top of their national leagues...like, whoever won their League or whatever

UEFA cup is for the runners-up, or teams that did fairly.
