mine has taken more than 5 mins to shut down at times try emptying temps things in the tray anything that's running in the back ground I've even seen where the sound file for the shutdown was corrupted and wouldn't let it shutdown

Ok,Let's start with finding power supply type your pc have. Two kinds of power supply types, one is ATX and other one is AT.

Simply speaking ATX is the power supply type in which after completing system shutdown, pc is expected to power off. If your pc have this power supply, then some diagnosys has to be done.

Else the second type AT, doesnot turn off your pc after shut down completes, you have to manually turn off power.

Download the Windows Xp Tweaks . By using Tweaks you can change lot more default settings of Windows. And also it has solution to your problem.

if i m not wrong u must hv hibernated ur system n after that ur pc must hv startd givin this prob.actually even i faced this type of prob.try this out ...
start ur pc in safe mode thn shut down ur pc .it ll shutdown .
thn in normal mode it ll shutdown ur pc safely.if it doesnt works try system restore option in system tools.if this too doesnt work thers no otha option thn reinstallin ur xp again.

simple press CTRL ALT DEL and see if win opens task manager if it is doing tha tsee some programs must be runing in the backgrund and i guess those could be malware or viruses
