Two geniuses. One is a man who encases himself in armor. The other is a computer program that has built itself a robotic body. Who wins and why?

Iron Man if he's sober, Braniac if Iron Man's not.

I have to say Braniac wins, here's why: he downloads himself into Iron Man's armor and takes control of it. (He was running the whole city of Metropolis, and the armor isn't more complex than that.)
I know they have had the armor go sentient once and Tony probably thought of a way around that. But this would be a diferent matter, not with the armor developing its own mind but with an electronic mind infiltrating the armor. I don't even think that Tony would recognize it as an attack, in time. Braniac would win almost as easily as Magneto would!
Then, if he wanted to, Braniac could do things to ruin Iron Man's reputation; like have him commit crimes in public. (And, since the public knows that Stark is Iron Man, now, there's no more of that wimpy "I fired him and hired a new, more honest bodyguard!" BS) That would be a serious corner for any writer to try to get the character out of.
Marvel could do this with Machinesmith, who is sort of an analog to Braniac, in that respect. He might enjoy having an Iron Man suit as a new body-- at least, until the contents started to decompose-- but what am I saying? Machinesmith doesn't have a sense of smell! So, what would he care!
So yeah, I think that Brainiac or Machinesmith would be able to beat Iron Man. Not that I don't like Iron Man, but I'm a little claustrophobic and I think that Tony Stark is dumb to lock himself into a potential coffin, no matter HOW powerful it is!
Idea: we try Machinesmith vs. Iron man and Brainiac vs. Steel, and then the winners face off. How's that?

Iron man because he design and create robotics (stark industries) not to mention the most advance and ultimate weapons his armor suit possess. Remember superman beat brainiac and he's not a egghead.
