If a qb throws a pass but its incomplete because of a penalty to the reciever, they get the yards on the field but does that still count as an incomplete pass?

they place the ball at the spot of the foul, or how many yards the penalty is for, and its 1st down, no pass, no incompletion.

No. The penalty will offset the play and the incomplete pass won't count. It will be as if the pass was never thrown.

Scotty B is correct. It is neither a completion nor an attempt. Statistically, the pass never happened.
