Many reasons:
1. First foremost, check the Telephone line. Connect the telephone directly to the connector, and check if there is any dial-tone. Once that's fine, we can rule the wiring problems out.
2. Re-connect the telephone RJ45 connector back to the modem. Do a try and check if you can a dial-tone? If that's still fails, then, go to Step 3.
3. Go to control panel->Systems->Hardware advance. Check the status of the modem. Is it enable? Is there a driver IRQ conflict?
4. Is your modem a USB Modem, Serial modem, or an Ethernet modem? In other words, what's the connection type from the modem to the PC?
If it's a USB connection, try unplugging and re-plugging the modem into the host PC. Do you see the auto-detection notification of a new device?
If it's a Ethernet modem, try unplugging and replugging the conenctor, do you see a network connection?
If it's a Serial modem, i bet they still can see a hardware detection notification, right?
Do you see any indication that the modem has successfully connect to the PC?
If no, do try asking yourself a question, what was the last thing you did to your PC that is, what did you install, uninstall or remove?

5. If the above still fails to tell you anything, try uninstall the modem driver. Please use the installation CD provided by the OEM when you bought the modem. If you lost it, try finding the driver installation from the internet.
Re-installing the driver will at least tell you that, the drivers on the OS are installed properly and functioning. Of course, you still need to get a successful connection. I presume your modem is an ADSL modem. Right? Nobody uses dial-up anymore which is the older 56k modem.

6. Lastly, if all of the above still fails to tell you a thing, try sending the modem back to the shop for test. The modem hardware could be faulty.

- make sure the phone cord is in the proper jack (not the one with a phone icon) in your modem
- replace phone wire and test a phone in the jack that says phone on your modem
- no regular dial tone: usually happens when you have a voicemail message; listen to your messages and it will be fine
- go in Control Panel->(classic view)->Phone and Modem Options->Modems tab->select modem in list and click Properties->Advanced tab->type "X3" (without the quotes) in extra initialization commands. Then pick up your phone and try your connection.

If you don't hear it dialling at this point or all the rest fails, the modem is defective.

1. The modem is not properly connected to the phone line.
2. The line is being occupied somewhere. Check to see that your phone(s) are on the hook properly and nobody is using them.
3. The modem might not be properly connected to the computer.
4. The cable between the modem and phone line might be damaged.

Dial up modems are not very stable. Lightning runs through the phone line and knocks them out on a regular basis. You probably need a new modem which are about 25.00 at Wal-mart.

chk if telephone line is connected to line of modem and not to the phone jack of modem,then go to settings of modem and in advanced inside u have to give modem intinalizing string as ATX3
