I assume you mean a prospectus? If so, these will vary in organization, approach, and style based on the subject matter you are tackling and the expectations of your dissertation committee. (This is really the sort of thing you ought to be asking the chair of your committee.) In general, your task is to reveal that there is some hole in the existing research (you show this through a brief lit review), explain how you aim to fill that hole, describe your intended methodology, outline your proposed dissertation, and conclude with some thoughts about what all of your work will contribute to the field overall. Attach a tentative bibliography.
Departments differ a bit on how long the document should be, but 8 to 10 pages is a rough target.
