You have what's called a deadlock. These are typically temporary files looping and cycling. They will not allow Windows to back down, and out of memory.You need to clean up your computer by using scandisk. Additionally you need to delete your tmp files being used. Go to Windows Explorer and search under the C:\ for *.tmp. When you get your results found delete the files. Go through shutdown and see if it completes.

Don't pull the plug if you can help it.
You can always hold down the power button for about 5 - 10 seconds at any time, and that shuts the machine down.
The problem is, it doesn't properly shut down windows. Windows will probably ask you to run various scans, all of which will be worthless, when you power up the next time.

Press Ctrl-Alt-Del (at the same time). This will bring up the Task Manager window. Look and see if there are any programs that are not responding. If there is highlight it and click End Task. You may get another box that says "Ending program, this may take a minute". You can then click End Now.
A good practice is to close all your programs before shutting down. This makes the shutdown process faster. Good Luck.

Windows has been plauged with shutdown probs & quirks forever it seems like.
The program is HUGE and gets VERY busy doing all sorts of thing in preparation to shut down.
THIS is not your problem,,but simply "good practice" to minimize the effort XP has to prepare for shutdown,,
AND help keep it running as error-free for as long as as possible,
And,,help reduce it's load on next start up.
Close everything manually 1st
Me personally,,I also add a Disk Cleanup Shortcut on my lower toolbar,,and click it before shutdown to clear out most of the day's junk.
It just takes a minute,,and I'm convinced I get worthwhile results.
But I also realize not everyone wants to do that...so that's just a suggestion.
Microsoft has this suggestion about Stalled Shutdown Process.
I've experienced this particular condition a few times before,,and this fix was THE Fix.

One way is to push and hold the button on the front of the hard drive for 15 seconds. It will go down. The other is to make sure you are not running any programs when you shut down. This will prevent you from shutting down immediately.

First thing to try is to logoff before you shutdown. If this allows you to shutdown you have a network that will not shut down. Remove and reinstall your network card.
If this does not help the shutdown your windows might have corrupt files. Reloading windows may help.
Spywear may be a factor, run some scans

well how old is it...if it is new...then you have a problem...or it is just busy shutting down programs you can just push the power button, if it still doesn't shut down when you push it once, then hold it down for 5 to 10 seconds then it will shut down...if it is old. the screen should say it is now safe to shut down your computer... the difference is atx and at power supply

If you have a spyware program or firewall running it may be that they need to be shut down first. You can always press and hold the start up button on your tower and that will turn it off.

Do not pull the plug!
leave it alone! Sometimes, because of readdressing, it can take more than 30 minutes. Leave it, even an hour or two.
Listen to the hard drive, see if you can here it writing.
Just be patient.

when you get the message w/ the black screen saying it is now safe to shut off your computer,, just hold the pwr button for about 4-7 sec and it will power down,,
