Most of your responses will most likely tell you to go see a lawyer. That's an expensive way to go. There is another way you can find out the information you're seeking. First of all, you are not a "non-profit" organization without the 501-C3 certificate. So as a business, whether or not you incorporate, you are still liable for taxes, if you have any taxable income. The next step you might want to consider is going to the state of Ohio's website and checking to see what the laws are governing non-prof status. The 501-C3 cert comes from the IRS; you can pay those nice people a visit any time during their working hours to get the information you need about N-P status. They will also be able to guide you with something called Publication 17; a manual you will need for your financial operations. You CAN be a company or a partnership, or any other type of organization (not a corporation) and have 501-C3 status. You don't need to incorporate. But you do need to be registered with the IRS. As for paying yourself a salary, your state laws will dictate how much you are able to earn. So the next logical question could be, "Why do you want to be non-prof.?"

A non-profit organization that is not incorporated is not a non-profit organization.
