Where are you purchasing the 3200 from? The old fan most likely will work, but not the best. Does your motherboard support 400 Mhz FSB?

It all depends on your motherboard. If you have a socket 754 mobo I would say no. If it is a socket 939 it might be OK. As it is only an XP I assume it is an obsolete socket A and as such is not worth bothering with, Socket A CPU's are a horrific price as they are so scarce. Upgrade the lot to AM2 or Socket 939.

You dont need 2 worry about anything. When you buy the Processor, the Fan will come with it, unless u are buying it OEM or second hand. If its boxed up then it will come with a Fan and Heatsink.

No you do not and you don't need a bigger supply unit also. But, for the best quality I would chage the fan.
