1) Not having the money to pay for it
2) Not requesting it earlier enough before your trip
3) Not being a US Citizen
4) If you are a fugitive from the law.
5) If your ex-girlfriends brother is processing your order
6) You are Osama Bin Laden
7) You didn't send them the right size pictures (or they are pixelated)
8) You are going to use it to go to France (very uncommon)
9) You are a serial passport requester who tries to get a new passport every time you lose a pound, but are also anorexic so you have been trying to get a new one every day.
10) You don't provide them with proper identification.

I don't think they let people in with a criminal record. Given the current climate if you have ever been arrested you may struggle as well.

Aside from that if you are eligible for one you should get one. They don't just let you immigrate if you want to though. Only a tiny percentage of applicants get accepted.
