calls me up to find out how i am doing and i can speak to him on anything or problem i have. I als feel a lot better when i speak with him. On the other hand, he has been feeling very sad and worried for no apparent problem, but was telling me that sadness has engulfed him and he feels miserable and asked me to pray for him. I am stuck now and really don't know what to say that could help him out of this problem. I think he probably feels i am not mature enough to tell him what to do. I am 29, he 44. Pls help.

Maybe he has depression. There's not an outside reason for clinical depression. Try and talk him into getting evaluated for it.

for my view, I think it is not always that the man in such age will ask for the depression help for his employee. But as you are his bestfriend :) well, just tell him to feel better soon. In the other hand it might be the percentage like what the first answer said.
Just don't get your feeling in to it too much. Don't try to be too close because you are still his employee. It is not about good or not good it is just for prevent your self to be hurt in the future for its result. Wish you all the best.

Umm, sounds like the old "I am so depressed until I get in your pants" maneuver. Don't fall for it. These older guys are tricky and manipulative. This is a work situation so the best thing you can do is put some professionalism in your work ethic and stop interacting with this guy or you will get hurt.
