Downsizing is a method to reduce headcount (i.e. large-scale layoffs). Sometimes it happens because of outsourcing (i.e. moving of work to a third party, who can do it cheaper than yourself), but not always.
If you have your retirement money in the company and you can choose whether the company should do a job expensively in-house or cheaply in India, is it okay with you to live for less money in your retirement years to save American jobs? Or would you invest in another company instead? You may be one of the few idealists in this world. Most people would place their money where it makes the highest return.
Some claim that the managers of the company really have a choice, but often they don't. They have a responsibility - to create a cost effective company that give you as an investor money back and that can sustain the competition long-term.
Companies that don't see this are dinosaurs. We may not like it (particularly when we are personally affected). But we can't escape it. We just have to evolve.

Well outsourcing is taking American jobs to other countries for less money so that the top dogs can take in that profit( I'm a personal victim) .
Downsizing is firing of several hundreds or thousands to cut costs so that fat cats can keep profiting rolling and the "left-over" employees can pick up the slack or lose their jobs.

downsizing simply means that the company is cutting labor costs or capital costs, effectivly making the company "smaller".
outsourcing is NOT taking your business or parts of your business over-seas. thats off-shoring. outsourcing merely means that a company is taking certain aspects to their business or production process and hiring an outside company to do them for you.
also, off-shoring is not all that bad as most people make it out to be. yeah, if it happens to you personally you may be pissed off in the short- run, but if you think about the long-run it gives you other opportunities to apply yourself and perhaps find another job that better fits your needs. it alos creates opportunities for people in other countries that they never could have imagined before. it raises not only their standard of living but the standard of living in the whole country.

It is done because our lawmakers and citizens demand higher pay, which makes the prices of everything inflate. Many companies cannot afford this so they downsize the company and have only the bare minimum of employees. Also outsourcing, to drive their costs down. As long as we demand a higher minimum wage, everything will inflate and companies cannot afford to pay more employees.

outsourcing means finding another business to perform a certain task that your company could do internally, but you don't have the resources to do it, or find it more profitable not to
downsizing means reducing the size of your work force, that is, deciding certain positions are no longer needed. there may be numerous reasons for doing so, but they will relate to profit and the company's business goals and strategy
