Without seeing the email in question I can't tell you for sure. However, there has been at least one phishing attempt recently using an IE7 download as the bait, so I'd personally be very, very paranoid. The phishing email I saw referred to the IE7 beta rather than the actual release, but that's not a safe indication; they could have updated the email.
Just go get IE7 at microsoft.com and you don't have to worry. Well, at least not about anything other than it being IE in the first place. Then use Firefox (Fx2 is due out tomorrow) or Opera or Netscape and see what you've been missing. :)

The email through Yahoo is probably credible. The site is not spoofed and does not re-direct you to a non-Yahoo affiliated address or site. I would suggest however, to download Internet Explorer 7.0 from Microsoft's webpage directly, if you choose to upgrade. It does not appear to be in beta.

Personally, I'm running Win2000, so I am not able to use IE7 and using Firefox more often instead.

Yeah, it's legitimate, but don't download it yet. Wait until they work out the bugs. People are having problems with it. In fact my friend had me undue the automatic updates on my pc til they fix the problem. I don't think you need to download another...just give it a week or so. Until then use what you have.
Good luck ! ! !
